THIS IS A BINDING LEGAL DOCUMENT; PLEASE READ THIS CAREFULLY!
PLEASE READ THESE TERMS CAREFULLY. SECTION 17 INCLUDES A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER, WHICH AFFECT HOW DISPUTES ARE RESOLVED.

Individuals must be 18 years of age or older to enter into this Agreement, and you warrant that you are 18 years of age or older. By using the Site and entering into this Agreement you consent to the terms of this Agreement; as modified from time to time by us. Therefore, you should carefully review this Agreement, so you understand the terms of the Agreement.

1. Acceptance of Terms; Modifications

These Terms of Service (“Terms”) are a binding legal agreement between you and Nooqbook™ LLC, a Utah limited liability company (“Nooqbook™ LLC,” “Nooqbook,™” “Company,” “we,” “us,” or “our”). They govern your use of our software applications, resources, and services that connect parents (“Parents”) with Instructors of children’s after-school activities (“Instructors”) to find each other, communicate, and arrange services (collectively, the “Nooqbook™ Service”), accessible via our website at www.nooqbook.com, mobile apps, or other access points we provide.

BY SIGNING UP FOR AN ACCOUNT OR USING THE NOOQBOOK™ SERVICE, YOU ACCEPT THESE TERMS.

If you don’t agree, you may not use the Nooqbook™ Service.
We may update these Terms from time to time, effective when posted on the Nooqbook™ Service, unless otherwise required by law. Your continued use after updates signifies your consent to the revised Terms.

2. Nooqbook™ Service

2.1 Nature of the Service

The Nooqbook™ Service is a platform linking Parents and Instructors for enriching activities like swimming, music, or crafts. We’re a neutral venue—not an Instructor—and don’t directly offer these services beyond platform support and resources. All Instructors pass top-agency background checks, but we don’t control or guarantee the quality of services or user interactions—Parents and Instructors make their own choices.

2.2 Transactions Between Users

Bookings and payments occur between Parents and Instructors via the Nooqbook™ Service. We facilitate payments securely but aren’t liable for service outcomes beyond our cancellation policy in Section 10.

2.3 Bookings

A “Booking” occurs when a Parent and Instructor agree on fees, timing, and terms through our booking system. Clicking “Request to Book” or “Pay Now” commits you to the agreed terms. Neither party is obligated to accept a request—Instructors set their availability, and Parents select their fit. Cancellations follow Section 10.

2.4 Safety and Responsibility

Parents evaluate Instructors using profiles and reviews—Nooqbook™ facilitates background checks but doesn’t endorse users or verify every detail. Use caution and judgment when engaging others. Instructors and Parents are solely responsible for ensuring their actions align with their children’s best interests and applicable laws.

3. Compliance with U.S. Law

By using the Nooqbook™ Service, you certify you’re at least 18 years old and will comply with all U.S. federal, state, and local laws related to your activities, including Utah laws where applicable. Instructors must be legally eligible to offer services, securing any required permits or licenses (e.g., business registration, child safety certifications).

4. Use of the Service; Suspension

4.1 Your Conduct

You agree to:

Use the Nooqbook™ Service lawfully and only for arranging children’s after-school activities.

Not offer or book unsafe activities (e.g., unsupervised water sports, hazardous crafts).

Not post false reviews, spam, or content that’s threatening, harassing, or violates others’ rights (e.g., privacy, intellectual property).

Not bypass our payment system or solicit off-platform transactions.

Not impersonate others or create duplicate accounts.
Violations may result in suspension or termination.

4.2 Suspension Rights

We may suspend or terminate your access if your conduct is unsafe, dishonest, or breaches these Terms, or to protect Nooqbook™, its users, or the public. You may deactivate your account by emailing [email protected] (mailto:[email protected]). Outstanding payment obligations survive termination.

5. Registration; Security

Create an accurate account with current info—you’re responsible for keeping it updated. Safeguard your login details and report unauthorized use to [email protected] (mailto:[email protected]) immediately. Multiple accounts or impersonation are prohibited.

6. Privacy

Our Privacy Statement governs how we collect and use your data. By using the Nooqbook™ Service, you confirm you’ve read and understand it. LINK TO PRIVACY POLICY

7. Your Content

7.1 Content Submission

You may upload profiles, reviews, photos, or session updates (“Your Content”). You grant Nooqbook™ a perpetual, non-exclusive, worldwide license to use Your Content for service operation and promotion, subject to our Privacy Statement.

7.2 Responsibility

You warrant you own Your Content or have rights to share it, including consents for any children’s images. We may screen or remove it but aren’t required to monitor it—back up your own copies.

7.3 Copyright and License

The content within this Site, including, without limitation, the design, text, graphics, images, photographs, video and audio files, other files, and data (collectively, the “Content”), and the selection, arrangement, structure, coordination, and “look and feel” thereof, are the property of Nooqbook™.
You are granted a limited, non-sublicensable right to access this Site, and print the Content information published on this Site for your personal, non-commercial, and informational use in accordance with the Terms herein, provided that each copy includes any copyright, trademark or service mark notice or attribution as they appear on the pages copied. The foregoing license grant does NOT include the right for you to:

  • publicly perform, display, or publish any Content on broadcast, digital media, or commercial print publications media, or make other derivative uses of the Site or the Content;
  • sell, market, distribute, or make commercial use of the Site or any Content;
  • use frame or framing techniques to enclose any portion of this Site (including the images, graphics, or video found at this Site, any text, or the layout/design of any page or form contained on a page); or
  • collect and/or use any Content including the use of any robots, data spiders, or similar data gathering, mining or extraction methods.

Except for the limited license granted to you, you are not conveyed any other right or license by implication, estoppel, or otherwise in or under any patent, trademark, copyright, or proprietary right of Nooqbook™ or any third party.
Trademarks and Service Marks

All Company product names, slogans, and logos on this Site are either trademarks, service marks, or registered trademarks of Company or its suppliers and licensors and are the property of Company. Unauthorized use, whether or not such use is tied to any commercial endeavors, is strictly prohibited. You may not use any meta tags or any other “hidden text” utilizing Company or any other name, trademark, or product name of Company without our permission. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of Company, and may not be copied, imitated, or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and Company’s names or logos mentioned herein are the property of their respective owners. Reference to any products, services, processes, or other information, by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by us.

8. Safety & Emergencies

8.1 Safety Commitment

Every Instructor passes top-agency background checks before listing—we’re all in on keeping kids safe. Parents should share emergency contacts with Instructors for quick action if needed.

8.2 Emergencies

Instructors must notify Parents immediately if a child requires medical or urgent care during a session. If unreachable, Instructors should contact Nooqbook™ at [email protected] (mailto:[email protected]) or our emergency line at [email protected] (mailto:[email protected]). Parents authorize Instructors and Nooqbook™ to seek care in emergencies if they can’t be reached, covering costs via the payment method on file.

9. Communications

You consent to receive service-related emails or texts (e.g., booking updates, safety alerts) at your provided contact info, even if on a do-not-call list. Opt-out via our Privacy Statement—processing may take a few days.

10. Fees, Payments & Cancellations

10.1 Fees

Parents pay Instructors through Bookings, including a Nooqbook™ service fee (e.g., percentage of session cost). Instructors receive payments 48 hours post-session, minus our fee, via direct deposit or PayPal.

10.2 Tax ID

We collect your SSN or EIN for secure payments and IRS reporting—kept safe with top-tier encryption. Instructors need this to cash in; Parents don’t unless tax laws apply.

10.3 Cancellation

ForInstructors:

Full Refund Window: If a Customer cancels, your payout depends on the cancellation policy you set when posting your activity or accepting a booking. Typically, if they cancel well in advance (e.g., 24-48 hours, per your terms), they’re likely fully refunded—giving you time to regroup. Closer to the start—like within 24 hours—you might keep a fee or the full amount, especially for multi-child or multi-day bookings. Set your rules clearly in your profile!
Cancel Mid-Service: If a Customer cancels mid-service, they pay you for the time you’ve worked—your effort’s locked in. Refunds for unused time vary by your agreement with them, often negotiated directly. Nooqbook doesn’t set a universal rule here; it’s case-by-case through our platform—a team effort to keep it fair.

Instructor Cancellation:

If you cancel before the service starts or mid-service, the Customer gets a full refund for any unprovided time. You’ll issue it through our secure system—no fees for you, but frequent cancels might nudge your reviews. We’ll guide you to keep it smooth and help them rebook with another vetted Instructor.
Safety Net: If Nooqbook cancels your session for safety reasons (rare but possible), we’ve got everyone covered—Instructors keep full pay for time taught, and the Customer is issued a full refund for anything unserved.

For Customers:

Full Refund Window:

Cancellation refunds depend on the Instructor’s policy, set when they post the activity or accept your booking. Typically, cancel well in advance (e.g., 24-48 hours, per their terms), and you’re likely fully refunded—no worries. Closer to the start—like within 24 hours—you might face a fee or lose the full amount, especially for multi-child or multi-day bookings. Check their profile for details!

Cancel Mid-Service:

If you cancel mid-service, you pay for the time the Instructor’s worked—fair for their effort. Refunds for unused time vary by agreement, often negotiated directly with them. Nooqbook doesn’t dictate a universal rule; it’s handled case-by-case via our platform—teamwork makes it work!
Instructor Cancellation: If a Instructor cancels before you start, you get a full refund. If they cancel mid-service, they’ll issue a full refund for any unprovided time through our secure system, freeing you up to rebook with another vetted expert.

Safety Net:

All Instructors pass top-agency background checks, so if we cancel a session for safety reasons (rare but possible), you’re issued a full refunded for anything unserved, so you can rebook fast.
10.4 Payment Authorization

You authorize us to charge your payment method for fees due. We act as Instructors’ agent for payments—If a Instructor doesn’t show up, they’re responsible for issuing your refund through our system. Keep payment info current—failed charges may halt services.

11. Background Checks

All Instructors complete top-agency background checks before listing, including [e.g., National Sex Offender Registry, National Criminal Database, county court records—pending First Vantage details]. We don’t guarantee accuracy or completeness—Parents should vet Instructors further (e.g., reviews, meet-and-greets). Contact [email protected] (mailto:[email protected]) to dispute a Instructor’s status.

12. Copyright Infringement

Report copyright violations to [email protected] (mailto:[email protected]) with your name, contact, and details of the issue per the Digital Millennium Copyright Act. Repeat infringers may lose access.

13. Third-Party Links

We’re not responsible for third-party sites or resources linked from the Nooqbook™ Service—use them at your own risk.

14. Indemnity

You agree to indemnify Nooqbook™ against claims from your use, breaches, or interactions (e.g., misrepresentations, injuries), to the fullest extent permitted by law.

15. Intellectual Property

Nooqbook™ owns its trademarks, content, and tech—Instructors may use our marks only while active and as permitted. Feedback you share becomes ours to use freely.

16. Warranty Disclaimer

The Nooqbook™ Service is “as is”—we don’t promise it’s error-free, secure, or fit for every need, disclaiming all implied warranties to the extent allowed by law.

THIS SITE, AND THE CONTENT, MATERIAL, AND INFORMATION CONTAINED AND/OR ADVERTISED THEREIN, ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOU EXPRESSLY AGREE THAT USE OF THIS SITE, INCLUDING ALL CONTENT OR DATA DISTRIBUTED BY, DOWNLOADED OR ACCESSED FROM OR THROUGH THIS SITE, IS AT YOUR SOLE RISK. EXCEPT AS EXPRESSLY PROVIDED IN THE SITE, WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT RELATED TO THE INFORMATION, MATERIALS, CONTENT ON OR GOODS PURCHASED THROUGH THE SITE. WE ARE NOT RESPONSIBLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS RELATING TO THE CONTENT OR MATERIAL. WHILE WE ATTEMPT TO ENSURE YOUR ACCESS AND USE OF THE SITE IS SAFE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THIS SITE OR ITS SERVER(S) ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ALL USERS ACCESSING THIS SITE FROM OUTSIDE THE UNITED STATES OF AMERICA ASSUME FULL RESPONSIBILITY FOR COMPLIANCE WITH LOCAL LAWS, IF APPLICABLE.

17. Arbitration & Class Action Waiver

17.1 Agreement

Unless you opt out per Section 17.4, disputes (except small claims or IP issues) go to binding arbitration under JAMS Streamlined Rules, not courts. The Federal Arbitration Act governs.

17.2 Class Waiver

Claims are individual only—no class actions—unless we agree otherwise.

17.3 Process

Email disputes to [email protected] (mailto:[email protected]) first—give us 30 days to resolve. If unresolved, arbitrate in your county or a mutually agreed U.S. spot. Fees follow JAMS rules—decisions are final.

17.4 Opt-Out

Email an opt-out to Nooqbook™ LLC, Attn: Legal, [email protected] (mailto:[email protected]), within 30 days of accepting these Terms, signed with your name, address, and account email.

18. Limitation of Liability

IN NO EVENT SHALL Nooqbook™ LLC, OR ITS DIRECTORS, OFFICERS, EMPLOYEES, SUPPLIERS, LICENSORS, AND/OR ASSIGNS (COLLECTIVELY THE “COMPANY PARTIES”), BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE WEBSITE, EVEN IF THE COMPANY PARTIES HAVE BEEN EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED ELSEWHERE IN THESE TERMS AND CONDITIONS, THE COMPANY PARTIES’ LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO COMPANY FOR ITS PRODUCTS.

19. Governing Law

These Terms follow Utah law and U.S. federal law, without regard to conflict-of-law principles. Non-arbitrated disputes go to Utah state or federal courts—you consent to jurisdiction in Salt Lake County, Utah.

20. Miscellaneous

No partnership exists here. Invalid terms don’t void others—we’ll replace them to match intent. Force majeure (e.g., storms, strikes) excuses delays. Contact [email protected] (mailto:[email protected])
